Material Fact - Concepa Signs Amendment to Concession Agreement

São Paulo, July 4, 2017 -  Triunfo Participações e Investimentos S.A. (“Company”) (BM&FBOVESPA: TPIS3) and its concessionaire Concepa - Concessionária da Rodovia Osório – Porto Alegre S.A. (“Concepa” or “Concessionaire”), continuing the Material Fact notice disclosed on June 30, 2017 and the Notice to the Market disclosed on July 3, 2017, hereby inform their shareholders and the market that Concepa and the National Ground Transportation Agency (“ANTT”) signed the 14th Amendment to the Concession Agreement (“Amendment”), as disclosed in the Federal Register Diário Oficial da União of July 4, 2017, Section 3, Page 126. 
The Amendment approves extending the terms of the concession of the BR-290 and BR-116 (RS) highways for 12 months, with a reduction in the toll rate, from R$ 13.80 to R$ 7.10 at the toll plazas in Santo Antônio da Patrulha and Eldorado do Sul, and from R$ 6.90 to R$ 3.50 at the toll plaza in Gravataí, due to the reduction of the Concessionaire's scope of services. Through this Amendment, the following services will be provided: medical and mechanical assistance, monitoring of the concession stretch through cameras, operation of the mobile opening of the Guaíba Bridge, highway maintenance, operation of weighing scales, as well as customer service and provision of information through the Concessionaire’s channels. No new improvements are envisaged in the infrastructure of the highways under concession. The resolution came into effect at 00:01 on July 4, 2017.
