São Paulo, February 7, 2017 - Triunfo Participações e Investimentos S.A. (“Triunfo” or “Company”), together with its subsidiaries Concessão Rodoviária Juiz de Fora - Rio S.A. – Concer (“Concer”) and Concebra - Concessionária das Rodovias Centrais do Brasil S.A. (“Concebra”), informs its shareholders and the market that though they have not received any notification, Triunfo, Concer and Concebra became aware of lawsuits filed by the Brazilian Social and Economic Development Bank (“BNDES”) demanding payment, in a single installment, of the bridge loans granted to the subsidiaries.
Based on preliminary assessments, in the case of Concer, the amount demanded is R$ 219 million, due in November 2016. In the case of Concebra, the debt amounts to R$ 760 million, due in December 2016. The enforceability of such debts is being disputed through lawsuits filed by the Company, together with its subsidiaries, against BNDES in the Federal Courts of Rio de Janeiro.
As soon as it receives the notification, the Company will evaluate the appropriateness of taking further measures in addition to the lawsuits it has already filed and will keep the market duly informed of the matter addressed in this Material Fact notice.
